Happy Yogi Terms of Service

These terms apply to anyone using Happy Yogi as a student, whether through the app (iOS or Android) or the web platform at happyyogi.app. Together, the app and web platform are referred to below as "the Service." By creating an account or using the Service, you agree to these terms. Please read them before you sign up.

Happy Yogi is operated by Rory Gilchrist Consulting, trading as Happy Yogi, Rotterdam, Netherlands.

If you are a yoga teacher uploading content to the platform, separate Teacher Terms apply in addition to this document.

1. The Service

Happy Yogi connects students with independent yoga teachers, offering class listings and on-demand video content. You can access the Service through our mobile apps or directly through your web browser at happyyogi.app. Some features may only be available on one platform; we'll make it clear where that's the case.

You must not copy, modify, reverse-engineer, or create derivative versions of the app or website, or use our trademarks without permission. The Service and all related intellectual property remain the property of Rory Gilchrist Consulting.

2. Your account

You're responsible for keeping your login details secure and for any activity that happens under your account. If you're using the app, we strongly advise against jailbreaking or rooting your device, as this may compromise security and affect the app's functionality.

Teacher accounts

Teacher profiles are granted on a review basis. Creating a teacher account is an application to teach on Happy Yogi, not an automatic grant of teacher status. We review every application and may approve or decline it at our discretion, and we're not obliged to give reasons.

Approval can be revoked at any time and at our discretion, at which point your teacher profile and listings may be removed from the Service. Where a teacher whose approval is revoked has already sold collections, the access guarantee in Section 3 continues to apply to the students who bought them.

3. Purchases

What you're buying

When you purchase a collection on Happy Yogi, you're purchasing personal access to that content for a minimum of one year from your purchase date. You're not purchasing a permanent licence or a downloadable copy of the content unless the collection description explicitly says otherwise.

Access is personal and non-transferable. Please don't share your login credentials or purchased content with others.

Who you're buying from

Collections are created and owned by independent teachers. Happy Yogi provides the platform through which purchases are made and takes a commission on each sale. The content itself is the teacher's responsibility. Happy Yogi doesn't review collections for accuracy, safety, or quality, and makes no representations about the instruction provided.

Access guarantee

We require all teachers to keep purchased collections available for a minimum of one year from your date of purchase. If a teacher leaves the platform or their account is closed within that period, we'll make reasonable efforts to keep your access running for the remainder of your one-year entitlement.

Right of withdrawal and refunds

If you're an EU consumer, you have a statutory 14-day right of withdrawal from digital content purchases. This right is waived if you start accessing the content before the 14-day period expires and you consent to this at checkout. You'll be asked to confirm: "I understand this is digital content available immediately upon purchase. I consent to immediate access and acknowledge that by accessing the content I waive my 14-day right of withdrawal."

If you don't access the content within 14 days of purchase, you can request a withdrawal and full refund by contacting support@happyyogi.app within that period.

Outside the statutory withdrawal period, we generally don't offer refunds on digital content purchases. Exceptions apply where the content is materially different from its description, where a technical failure prevents access that can't be resolved within a reasonable time, or where required by applicable law. Send refund requests on these grounds to support@happyyogi.app with details of the issue.

Pricing and VAT

Prices shown include any applicable VAT. Where VAT applies, it's charged at the rate applicable in your country of residence, in line with EU digital services rules.

Each teacher sets the currency for their own collections. The currency you're charged in will be shown clearly before you complete a purchase.

If Happy Yogi shuts down

If Happy Yogi ceases to operate, students with active purchases will be contacted directly with at least 90 days notice before the platform goes offline. We'll offer a pro-rata refund for any portion of a one-year access period that can't be fulfilled due to the shutdown, and we won't take the platform offline while significant unresolved purchase obligations remain.

4. Third-party service providers

To operate the Service, we work with trusted third-party providers who help with things like:

These providers may process limited information on our behalf, only for the purpose of delivering specific parts of the Service. They're contractually obligated to protect your data and can't use it for other purposes. Our Privacy Policy has more detail on how we process personal data.

5. Connectivity and device or browser requirements

Certain functions of the Service require an active internet connection, whether through Wi-Fi, mobile data, or another connection. If you use the app outside Wi-Fi, your mobile provider's terms still apply, and you're responsible for any resulting charges, including roaming fees. If you're not the bill payer for the device, please confirm you have permission to use the app before doing so.

If you're using the web platform, you're responsible for using a supported, up-to-date browser. We can't guarantee full functionality on outdated browsers or unsupported devices.

Rory Gilchrist Consulting isn't responsible for the Service not working at full functionality due to a lack of connection, an exhausted data allowance, browser incompatibility, or your device being unavailable or uncharged.

6. Updates and availability

We may update the app or web platform from time to time, and you may need to install updates or refresh your browser to keep using certain features. We don't guarantee ongoing compatibility with older device operating systems or browser versions.

We may suspend or discontinue any part of the Service at any time. If we do, and it's not covered by the shutdown terms in Section 3, we'll let you know what happens to your account and any active purchases.

7. Your content

If you post reviews, comments, or other content through the Service, you confirm you have the right to share it and that it doesn't violate any of the rules below. You grant Rory Gilchrist Consulting a non-exclusive, worldwide, royalty-free licence to display and distribute that content within Happy Yogi, for as long as it remains posted.

You must not post content that:

We may remove content that violates these rules or poses a risk to users or the platform, and repeated violations may result in account suspension.

8. Takedown requests

If you believe content on Happy Yogi infringes your rights, contact support@happyyogi.app with a description of the content, a link or screenshot of where it appears, proof of your rights, your contact details, and a statement confirming the accuracy of your claim. We'll review valid requests and may remove or restrict access to the content, and where appropriate we'll notify the person who posted it.

9. Termination

You can close your account at any time by contacting support@happyyogi.app. If you have active purchases, closing your account doesn't cancel your entitlement to them; the access guarantee in Section 3 still applies.

We may suspend or close your account if you breach these terms, including the content rules in Section 7, or if we reasonably suspect fraud, payment disputes, or abusive behaviour towards teachers or other students. Where possible, we'll tell you why. If we close your account for reasons unrelated to a breach on your part, we'll honour any active purchase entitlements under Section 3 or provide a pro-rata refund for the remaining period.

We may suspend or close any account at any time, without notice and at our discretion. Where an account is closed without notice, the purchase entitlements and refund provisions in Section 3 and in the paragraph above still apply, and nothing in this section affects rights you hold under mandatory consumer protection law.

10. Limitation of liability

To the extent permitted by applicable law, our liability in connection with a purchase is limited to the amount you paid for that purchase. For anything else related to your use of the Service, our liability is limited to the greatest extent permitted by Dutch and EU law. Nothing in these terms limits liability for fraud, personal injury caused by negligence, or any other liability that can't be excluded by law.

11. Governing law

These terms are governed by Dutch law. If you're an EU consumer, you retain any rights granted under the mandatory consumer protection laws of your country of residence, regardless of this clause.

12. Severability

If any part of these terms is found to be unenforceable or invalid under applicable law, that part will be limited or removed to the minimum extent necessary, and the rest of these terms will remain in full effect.

13. Assignment

We may transfer or assign these terms, in whole or in part, if Happy Yogi is sold, restructured, or otherwise changes ownership. If this happens, your rights under these terms, including your purchase entitlements, will carry over to whoever takes on the Service. You may not transfer or assign your account or purchases to anyone else.

14. Changes to these terms

We may update these terms from time to time. We'll post new versions on this page, and we recommend checking back periodically.
